The exact scope, deliverables, and timelines will be defined in a project proposal, package, or written agreement.
3. Engagement & Acceptance
A project is deemed accepted when:
- You provide written confirmation to proceed, or
- You approve a proposal, quote, or website preview/demo
Such acceptance constitutes agreement to these Terms.
4. Fees & Payment
For standard projects, full payment is required prior to delivery and launch.
For larger or custom projects, a staged payment structure may apply as outlined in the project proposal.
Unless otherwise agreed:
- Payments are non-refundable once work has commenced or a design has been approved
- Final files, access, and launch will not be provided until full payment is received
5. Scope of Work
All services are limited to the agreed scope.
Any additional work, features, or revisions outside of the agreed scope will be quoted separately.
Requests that materially alter the structure, functionality, or design direction after approval may be treated as a new phase or project.
6. Delivery & Timelines
Delivery timeframes are estimates and depend on timely client communication.
We are not liable for delays caused by:
- Lack of client response
- Delayed content or approvals
- Third-party service disruptions
Projects delayed due to client inactivity may be paused and rescheduled.
7. Client Responsibilities
You agree to:
- Provide accurate, complete, and lawful content
- Ensure you have the rights to use all supplied materials
- Respond to requests for feedback within a reasonable timeframe
You remain solely responsible for the legality, accuracy, and compliance of all content provided.
8. Intellectual Property
Ownership of the completed website transfers upon full payment.
Until full payment is received, all work remains the property of Zafiro Studio.
We reserve the right to showcase completed work in our portfolio and marketing.
9. Third-Party Services
We may utilise third-party platforms, tools, and services.
We are not responsible for:
- Performance or availability of third-party services
- Changes, outages, or security issues related to those services
10. Performance Disclaimer
We do not guarantee specific results, including but not limited to:
- Search engine rankings
- Website traffic
- Leads, conversions, or revenue
Any optimisation or advisory services are provided on a best-effort basis.
11. Indemnity
You agree to indemnify and hold harmless Zafiro Studio against any claims, damages, losses, or expenses arising from:
- Content provided by you
- Your use of the website
- Any breach of applicable laws or regulations
12. Limitation of Liability
To the fullest extent permitted by law:
- We shall not be liable for any indirect, incidental, or consequential loss
- Our total liability shall not exceed the total fees paid for the services
13. Force Majeure
We shall not be liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to:
- Acts of God
- Internet outages
- Government actions
- Third-party failures
14. Termination
We reserve the right to suspend or terminate services if:
- Payment is not made when due
- You breach these Terms
- You are uncooperative or abusive
All payments remain non-refundable for work completed.
15. Data Protection
We process personal data in accordance with our Privacy Policy.
16. Amendments
We reserve the right to update these Terms at any time. Updated versions will be published on our website.
17. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
18. Precedence
Where a project proposal or written agreement exists, its terms shall take precedence over these Terms.
